Austin Stack
Austin Stack is an associate in the firm’s executive compensation practice.
Austin Stack has a broad range of experience in executive compensation and employee benefits matters, including in the context of mergers and acquisitions. Austin Stack has significant experience designing and evaluating compensation arrangements for compliance with sections 280G (golden parachutes) and 409A (nonqualified deferred compensation) of the Internal Revenue Code. Austin Stack also regularly drafts equity-based plans and arrangements, including stock options, restricted stock, stock appreciation rights, restricted stock units, employee stock purchase plans, profits interests, and “phantom” equity. He also has experience advising on tax and ERISA compliance for qualified retirement plans (including 401(k) and 403(b) plans) and health and welfare benefits. Additionally, Austin Stack regularly represents individual executives in connection with the negotiation, drafting, and review of various compensation arrangements, including employment agreements, severance and separation agreements, and equity and equity-based award agreements.
Austin Stack received his J.D. from Harvard Law School and his B.A. in Government and Politics, cum laude and with High Honors, from the University of Maryland. Prior to joining Bowen Tax Law, Austin Stack was an Associate in the Miami and then Los Angeles offices of Holland & Knight LLP, where he was a member of the Employee Benefits and Executive Compensation, and California Labor & Employment groups. Austin Stack is a contributing author to the “Executive Compensation” chapter of the Practicing Law Institute Corporate Compliance Answer Book for the 2018 through 2021 Editions.
Austin Stack has written, recorded, and released original music as the lead vocalist of a Los Angeles-based rock band, and also enjoys cooking, volunteering at local dog rescues, and rooting for his favorite sports teams.
